Job Description

Collaborate with executives and partners in Finance, Accounting, Investor Relations, and teams across Yelp to draft clear and accurate public disclosures.
Help shape Board and committee agendas and take part in committee meetings.
Draft, update, and maintain corporate governance policies.
Team up with Investor Relations and Public Relations on shareholder communications.
Streamline and improve processes to ensure timely, efficient public company reporting.
Lead the legal side of M&A transactions and negotiate deal documents.
Support our stock administration team with equity plans, trading windows, 10b5-1 plans, and related matters.
Stay on top of changes in the legal landscape, flag risks, and recommend practical solutions.
Work closely with outside counsel on a range of high-impact matters.

Juris Doctor (JD) and active state bar membership in good standing
4+ years of corporate legal experience with a focus on public company securities law and SEC reporting
Deep understanding of SEC rules, regulations, and forms
In-house experience is a plus
M&A experience is a plus
Strong work ethic, sound judgment, and a team-first mentality
Can-do attitude and willingness to dive into the details
Proven success working cross-functionally with a wide range of teams
Ability to break down complex legal requirements and provide practical, business-minded advice
Excellent legal and business judgment, with a creative approach to problem-solving
Outstanding written and verbal communication skills, with a keen eye for detail and organization.
