Position: VP Finance / Vice CFO (Pre-IPO)

Company Overview
U.S.-based digital infrastructure company with ~40MW energized capacity across two operational sites in Texas. The company is transitioning from Bitcoin mining to high-density AI data center infrastructure (liquid-cooled GPU clusters) and preparing for a potential Nasdaq IPO within 3-6 months.
The Role
We are seeking a hands-on VP Finance / Vice CFO to support IPO readiness, build a public-company-ready finance function, and assist with capital markets activities. This is a high-impact role working directly with the CEO and external advisors (investment banks, auditors, legal counsel).
Key Responsibilities (Condensed)
- Support IPO readiness: S-1 process, SEC reporting, audit coordination
- Build and scale finance function (accounting, FP&A, reporting)
- Implement SOX/internal controls and public company compliance framework
- Support equity/debt financing and investor materials
- Develop financial models for AI data center expansion
- Interface with auditors, bankers, and legal teams
Must-Have Requirements
- Experience at a U.S. public company (Nasdaq/NYSE)
- Direct exposure to IPO process and/or SEC reporting
- Strong knowledge of U.S. GAAP, SOX, and audit processes
- Hands-on, able to build finance infrastructure from early stage
Preferred Background
Candidates from one or more of the following sectors:
- Bitcoin mining / digital assets
- Energy / power infrastructure
- AI data centers / cloud / digital infrastructure
Profile
- 5-8+ years of finance experience
- Prior roles: VP Finance, Director of Finance, Controller, or similar
- Experience working with investment banks and auditors
- Strong capital markets awareness; existing network is a plus
Compensation
- Base Salary: $120,000 – $200,000
- Equity: 1% – 2% stock options
- Bonus: performance-based (IPO milestones)
