  • We are seeking a highly experienced and strategically minded Project Finance Advisor with a specialized focus on Engineering, Procurement, and Construction (EPC) financing to join our team on a part-time, freelance basis. This pivotal role is designed for a seasoned professional who thrives in a dynamic, advisory capacity, contributing to the successful financial structuring and execution of large-scale infrastructure and industrial projects, primarily within the African and Middle Eastern markets. Your expertise will be instrumental in navigating the complexities of deals involving Chinese EPC contractors and international financing institutions, ensuring robust financial frameworks and mitigating potential risks.
  • As a Project Finance Advisor, your core responsibility will be to provide expert guidance on the intricate financial structuring of EPC-Finance transactions. This involves a deep understanding of how to align the commercial and financial aspects of large projects, ensuring that the project's revenue streams, cost structures, and financing mechanisms are sound and sustainable. You will be tasked with developing and refining financial models that accurately reflect project economics, debt servicing capabilities, and overall investment viability.
  • A significant part of your role will involve conducting thorough project bankability assessments. This requires a keen eye for identifying and evaluating project-specific risks, including but not limited to, construction risks, operational risks, market risks, and political risks. You will analyze the adequacy and appropriateness of proposed guarantees, such as sovereign guarantees, bank guarantees, and offtake agreements, to mitigate these identified risks. A critical component of this assessment is the logical flow of cash within the project's financial structure, ensuring that funds are available when needed for debt repayment, operational expenses, and shareholder returns.
  • You will play a crucial role in reviewing and providing expert commentary on key transaction documents. This includes Letters of Intent (LOIs), Memoranda of Understanding (MOUs), EPC contracts, and the overarching financing structures. Your insights will help ensure that these documents accurately reflect the agreed-upon commercial terms, adequately address financial risks, and are aligned with the project's overall financing strategy. This review process is vital for safeguarding the interests of all stakeholders involved.
  • The role necessitates active participation in critical discussions and negotiations. You will be expected to join selected calls and meetings with various project stakeholders, including EPC contractors, potential lenders (both commercial banks and development finance institutions), and project owners. Your ability to articulate complex financial concepts clearly and to contribute constructively to problem-solving during these interactions will be highly valued.
  • Advising on the optimal structure and implementation of various types of guarantees is a key facet of this position. This includes, but is not limited to, sovereign guarantees, which provide a government backing to the project; bank guarantees, often issued by financial institutions to secure performance or payment obligations; escrow accounts, used to hold funds securely until certain conditions are met; and offtake agreements, which guarantee the purchase of the project's output. Your advice will focus on ensuring these mechanisms are robust, legally sound, and effectively mitigate financial and performance risks.
  • You will act as a crucial liaison, fostering alignment and clear communication between diverse project stakeholders. This includes ensuring that the objectives and expectations of project owners, EPC contractors, and financing parties are understood and harmonized. Your advisory capacity will help bridge potential gaps in understanding and facilitate smoother project progression.
