They are looking for a Counsel β Commercial Law to provide legal support to the Smart Infrastructure operations, handling various legal matters and contract negotiations. Responsibilities β’ Ability to work closely with business partners/management and contribute to the success of the business by providing practical legal and business advice β’ Work closely with contract professionals and provide legal advice and approvals where required during contract negotiations β’ Perform substantial drafting and negotiation of contracts with customers, vendors, and business partners β’ Contract review and advice on applicable laws and risk mitigation strategies β’ Coordination of legal advice with global legal colleagues β’ Analyze, manage, and resolve diverse matters with government agencies and commercial customers β’ Review and provide legal advice relating to high-profile contracts/subcontracts, bids, equipment/solutions and service agreements, sales transactions, project implementation issues, and general corporate matters β’ Assisting clients and stakeholders to avoid liability claims and working closely with in-house/outside counsel to successfully resolve claims and litigation when it arises β’ Develop and provide legal training to the organization, and work with corporate executives to ensure adherence to corporate policies Skills β’ Juris Doctorate from a U.S. accredited institution, in good standing, and licensed to practice law in one or more states β’ 5 plus years of legal experience in transactional law, acquired in either a law firm or corporate in-house setting β’ Proficiency in commercial transactions and claims management β’ Advanced knowledge of equipment sales contracts, solutions contracts, service contracts, and software licensing β’ Comprehensive understanding of Software as a Service (SaaS) subscription-based business models and cloud infrastructure transactions β’ 5 years drafting, reviewing, and negotiating vendor procurement agreements with SaaS vendors β’ 5 years drafting, reviewing and negotiating financing documents and government contracts β’ 5 years of experience in drafting and negotiating large and complex commercial agreements for construction contracts β’ Legally authorized to work in the United States on a continual and permanent basis without company sponsorship β’ Effective communication of technical legal advice or data to non-technical stakeholders β’ Enthusiasm for learning new things and championing change β’ 5 years of experience reviewing, drafting and negotiating Performance Energy contracts for renewable energy projects β’ Self-driven and resourceful, able to independently achieve goals and collaborate effectively in group settings β’ Flexibility to adapt and thrive in an environment with changing requirements, schedules, and priorities for multiple projects or assignments β’ Excellent writing and effective presentation skills β’ Professional demeanor during face-to-face customer, vendor, and business partner meetings β’ Familiarity with asset-based lending transactions β’ Knowledge of legal issues specific to the construction, manufacturing, industrial, and software industries Company Overview β’ Siemens empowers customers to transform the industries that form the backbone of economies: industry, transportation, buildings and grids.
